Source Photonics (formerly Luminent) files registration statement for IPO

December 28, 2007, Chatsworth, CA--MRV Communications and Source Photonics (a wholly owned subsidiary of MRV, formerly Luminent) announced that a registration statement has been filed with the U.S. Securities and Exchange Commission for the proposed underwritten initial public offering of the Class A common stock of Source Photonics. The number of shares to be offered and the price range of the proposed offering have not yet been determined.

Source Photonics is a provider of optical communication products used in telecommunication systems and data communications networks. It designs, manufactures, and sells a broad portfolio of optical communication products, including passive optical network (PON), subsystems, optical transceivers used in the enterprise, access, and metropolitan segments of the market, as well as other optical components, modules, and subsystems. In particular, Source Photonics provides optical subsystems used in fiber-to-the-premise, or FTTP, deployments which many telecommunication service providers are using to deliver video, voice, and data services.

Cowen and Company, LLC and Credit Suisse Securities (USA) LLC are the joint bookrunning managers for the proposed offering. Co-managers for the offering are Needham & Company, LLC and Merriman Curhan Ford & Co. The proposed offering will be made only by means of a prospectus. When available, copies of the preliminary prospectus related to the offering can be obtained from Cowen and Company, LLC or Credit Suisse Securities (USA) LLC.
